1. Parties and Definitions
"Poker Summer Takeover," "PST," "we," "us," and "our" refer to the Poker Summer Takeover campaign and its operators, based in Las Vegas, Nevada. "You" and "user" refer to any individual accessing this site or submitting a form. "Campaign" refers to the Poker Summer Takeover creator and community program, including all associated events, content, and activations. "Creator" refers to any individual who submits a creator application. "Fan" or "Supporter" refers to any individual who submits a fan or supporter signup form.
2. Eligibility and Age Requirements
This site and campaign are intended solely for individuals who are 18 years of age or older. By accessing this site or submitting any form, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. To attend any on-property Las Vegas event, activation, or venue associated with this campaign, you must be 21 years of age or older as required by Nevada law and the rules of participating properties.
We reserve the right to verify age at any time and to remove any user or applicant who does not meet eligibility requirements without notice or liability.
3. Creator Applications
Submission of a creator application does not constitute, create, or imply any contractual relationship, employment relationship, partnership, joint venture, or agency arrangement between you and Poker Summer Takeover. All applications are evaluated at our sole discretion. We reserve the right to accept, decline, or defer any application for any reason or no reason, without obligation to provide explanation.
If your application is accepted, participation will be governed by a separate written Creator Agreement that will specify content obligations, compensation terms, exclusivity requirements, brand guidelines, deliverable timelines, and any other conditions of participation. These Terms of Use do not constitute that agreement and do not create any obligation on our part to enter into one.
By submitting a creator application, you represent and warrant that:
- All information you provide is accurate, complete, and not misleading
- You own or hold all necessary rights to any content, materials, or links you submit
- Your participation would not violate any existing contract, non-compete, exclusivity agreement, or other legal obligation
- You are not currently under investigation for or have been convicted of any crime involving fraud, deception, or conduct that would reflect negatively on the PST brand
- You understand that if selected, you may be publicly associated with the Poker Summer Takeover name and brand across all media
- You will promptly notify us if any of the above representations change after submission
4. Fan and Supporter Signups
By completing a fan or supporter signup, you consent to receive electronic communications from Poker Summer Takeover related to campaign updates, community announcements, Las Vegas event information, and future opportunities. This signup does not create any contractual obligation on either party, and does not guarantee access to any specific event, product, benefit, or opportunity. We reserve the right to modify, limit, or discontinue fan program features at any time without liability.
5. Intellectual Property and Brand Protection
All content on this site — including but not limited to the Poker Summer Takeover name, logo, taglines, design elements, copy, graphics, page layout, and campaign concepts — is the intellectual property of Poker Summer Takeover and is protected by applicable United States and international copyright, trademark, and unfair competition laws. No content may be reproduced, distributed, modified, publicly displayed, or used in any commercial manner without our prior written permission.
Creator applicants retain ownership of their independently created content. However, by submitting any content, media kit, portfolio link, images, video, or written materials in connection with an application, you grant Poker Summer Takeover a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, and share that submitted material solely for internal evaluation, application review, and, if you are selected, campaign promotion purposes. This license does not extend to commercial exploitation of your submitted content without a separate written agreement.
If you are selected and execute a Creator Agreement, the scope of content rights will be governed by that agreement. These Terms do not convey any broader license.
6. User Conduct and Prohibited Activities
By using this site, you agree not to:
- Submit false, misleading, or fraudulent information in any form
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use this site or its content to harass, defame, or harm any individual or group
- Attempt to gain unauthorized access to our systems, databases, or backend infrastructure
- Use automated tools, bots, or scrapers to extract data from this site
- Post or submit content that infringes on any third party's intellectual property rights
- Use our brand name, logo, or campaign identity without prior written authorization
- Engage in any activity that could damage, disable, or impair the operation of this site
We reserve the right to block access, remove submissions, or take any other action against users who violate these provisions.
7. Poker, Skill-Based Competition, and Gaming Classification
Poker Summer Takeover is a lifestyle, creator, and culture campaign. We do not operate, facilitate, or promote gaming or wagering services of any kind. This site contains no betting functionality, no rake collection, no real-money gaming, and no facilitation of wagering between parties.
Tournament poker is widely recognized under applicable law as a game in which skill predominates over chance when measured across a sufficient sample. Multiple United States federal and state courts have addressed the skill versus chance question in the context of poker, and the skill-based nature of the game is recognized by the Nevada Gaming Control Board, which regulates poker as a distinct category from games of pure chance. Players who compete in events such as the World Series of Poker pay entry fees to compete in a structured competitive format, analogous to entry fees paid in golf, chess, esports, and other skill-based competitions.
Nothing on this site constitutes an offer, invitation, or facilitation of gambling, wagering, or gaming as defined under Nevada Revised Statutes Chapter 463 or any equivalent statute in any other jurisdiction. Users who access this site from jurisdictions where poker or poker-related content is restricted or regulated are responsible for ensuring their compliance with applicable local law. We make no representations that this site or campaign is appropriate or available in all jurisdictions.
8. Sponsorship and Brand Partnerships
Any commercial sponsorship, brand partnership, or co-marketing arrangement with Poker Summer Takeover will be governed exclusively by a separate written agreement executed between the parties. No information on this site, and no communication via email or social media, constitutes a binding offer, commitment, or agreement to enter into a sponsorship arrangement. No partnership or sponsorship is effective until a formal written agreement has been signed by authorized representatives of both parties.
9. Termination and Removal
We reserve the right, in our sole discretion, to terminate or suspend any user's access to this site, remove any submission, or revoke any creator's participation in the campaign at any time, with or without cause, and with or without notice. Grounds for termination may include but are not limited to violation of these Terms, submission of false information, conduct that we reasonably determine is harmful to the PST brand or community, or any legal or regulatory requirement. Termination does not affect any rights or obligations that arose prior to termination.
10. Disclaimer of Warranties
This site and all information, content, and materials contained herein are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Poker Summer Takeover expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that this site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any campaign outcome, creator opportunity, brand partnership, or event activation described on this site will occur as described or at all.
11. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Poker Summer Takeover, its operators, affiliates, partners, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other intangible loss, arising out of or in connection with your use of or inability to use this site, your submission of any application or form, your participation or non-participation in the campaign, or any campaign event or activation, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claims arising out of or related to these terms or your use of this site shall not exceed one hundred United States dollars ($100.00), regardless of the form of action or the basis of the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Poker Summer Takeover and its operators, affiliates, partners, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of this site; (b) your submission of any application, content, or other material; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right; or (e) any content you create, publish, or distribute in connection with the campaign.
13. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, this site, or the campaign that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with proceedings conducted in Clark County, Nevada. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Poker Summer Takeover. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
14. Force Majeure
Poker Summer Takeover shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or public health emergency, government action or regulation, cancellation or modification of third-party events (including the World Series of Poker or any Las Vegas venue activation), labor disputes, failure of third-party infrastructure or services, or any other cause beyond our reasonable control. In such circumstances, we reserve the right to modify, postpone, or cancel any aspect of the campaign without liability.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 13, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Clark County, Nevada.
16. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17. Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Poker Summer Takeover with respect to your use of this site. They supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the subject matter herein. Creator participants who execute a separate Creator Agreement are bound by both these Terms and that agreement; in the event of conflict, the Creator Agreement controls.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be indicated by an updated version number and date. Your continued use of this site following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the site. We encourage you to review these Terms periodically.
